Safelite Glass Corp. Announces Successful Completion of Consent Solicitation

    COLUMBUS, Ohio, Dec. 15 -- Safelite Glass Corp., a leading
installer, distributor, and manufacturer of automotive replacement glass,
announced today that it has successfully completed its solicitation of
consents from the holders of its 9 7/8% Senior Subordinated Notes due 2006 to
proposed amendments of the Indenture under which the Notes were issued. The
Current Solicitation expired at 5:00 p.m. New York City time, on December 12,
1997. Chase Securities Inc. acted as the Solicitation Agent for the Consent
Solicitation. Georgeson & Company acted as Information Agent and State Street
Bank and Trust acted as Consent Agent.
    The Consent Solicitation was undertaken in connection with the
previously-announced merger of Vistar, Inc., an Illinois corporation, into the
Company. The Company expects the merger with Vistar to be consummated prior to
December 31, 1997.
    Celebrating its 50th anniversary in 1997, Safelite is the leading provider
of automotive glass replacement and repair service in the United States, and
currently operates two manufacturing facilities, 74 glass automotive
warehouses, and 493 Safelite(R) Auto Glass service centers in 48 states.
Vistar is the second largest provider of automotive glass replacement and
repair services in the United States and currently operates 356 service
centers. Both companies offer a broad array of automotive glass and related
services, including glass replacement, rock chip repair, truck backslider
windows and tinting services.
