Precision Auto Care Signs Letter of Intent to Acquire 8 Car Wash Facilities And Add Judge to the Development Team

    LEESBURG, Va., May 21 -- Precision Auto Care, Inc.
, an international provider of automotive maintenance services
and the nation's largest franchisor of automotive car care centers, announced
today that it signed a letter of intent to acquire eight Super Wash car wash
centers and convert two others.  The eight washes to be acquired will become
Company operated and the two others will become Precision Auto Wash
franchises.  All ten centers are located in Illinois.
    Precision Auto Care, Inc. is also establishing a consulting agreement with
Michael Judge, one of the former owners, to seek out car wash outlets
nationally for acquisition and conversion into the Precision Auto Wash system.
    "This transaction, which is expected to close by mid-June, will be our
first post-merger acquisition of a chain of car wash centers and our first
franchise conversions into the Precision Auto Wash system.  We anticipate that
this transaction could add approximately $1 million and $500,000 in fiscal
year 1999 revenue and earnings before income taxes, depreciation and
amortization ("EBITDA"), respectively, and to be accretive to earnings per
share (EPS)," said Jay Ripley, President and CEO of Precision Auto Care, Inc.

Precision Auto Wash system."

    Michael Judge, previously with Super Wash, Inc. in Morrison, Ill., has
over 10 years of expertise in site acquisition, permit and zoning issues,
feasibility studies, and site layout.  He has been instrumental in developing
over 200 Super Wash locations nationwide.
